Profile

Michael joined Sebaly Shillito + Dyer in 1994 as a Summer Associate and started full time with the firm in 1995 after graduating from law school. Michael became a shareholder in 2002. In addition to his legal knowledge and experience, Michael brings a deep understanding of business finance, operations, management, and strategic planning to the firm.

Michael is a member of the firm’s Corporate Law Department, where his practice focuses on mergers and acquisitions, general business representation, transactional work, and commercial real estate.
Professional Experience/Focus Area

A native of Cincinnati, Michael earned a Bachelor of Science degree in Economics in 1989 from Miami University and a Juris Doctor from the University of Cincinnati College of Law in 1995. While at UC, Michael was an officer and member of the Moot Court Board and received Order of the Coif and Order of the Barristers honors. Michael also completed the Marshall-Wythe School of Law program in London and Exeter, England.

Michael represents a diverse mix of clients ranging from start-ups to large public and closely-held businesses, including both profit and not-for-profit entities. He has experience in many aspects of general corporate and contract law, including entity structuring and capitalization, contract drafting and negotiation, private placements, technology, employment issues, arranging financing, health care, and participating in all aspects of mergers and acquisitions.

During the course of his career, Michael has participated in transactions comprising billions of dollars in value, ranging from the acquisitions of international entities with enterprise values in the hundreds of millions of dollars to the sale of family businesses for less than one million dollars.
Personal

Michael was admitted to the Ohio bar in 1995. He is a member of the Dayton and Ohio State Bar Associations. Michael, his wife Patty, and their two daughters, Lydia and Annalise, reside in Springboro, Ohio. In their spare time, they enjoy visiting State and National Parks and the beach.
